• Have completed our merchant onboarding and verification process

3. Account Registration

To access certain features of our Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Merchant of Record Services

As a Merchant of Record (MoR), EXOS Pay:

• Acts as the seller of record for transactions processed through our platform
• Handles payment processing, tax calculation, and remittance
• Manages refunds, chargebacks, and customer disputes
• Maintains compliance with applicable payment regulations

You grant us the necessary rights and permissions to process payments on your behalf and fulfill our MoR obligations.

5. Fees and Payments

Our pricing is published on our website. By using our Service, you agree to pay all applicable fees. We reserve the right to modify our fees with 30 days' notice.

Payouts are processed according to your selected payout schedule. We may withhold payouts if we reasonably believe there is fraudulent activity or to comply with legal requirements.

6. Prohibited Activities

You may not use EXOS Pay for:

• Illegal activities or transactions
• Fraud, money laundering, or terrorist financing
• Sale of prohibited goods or services
• Violations of intellectual property rights
• Harassment, abuse, or harm to others
• Circumvention of our security measures
• Any activity that violates applicable laws or regulations

7. Intellectual Property

EXOS Pay and its licensors retain all rights in the Service, including trademarks, copyrights, and other intellectual property. You receive a limited, non-exclusive license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or reverse engineer any part of our Service.

9. Indemnification

You agree to indemnify and hold harmless EXOS Pay, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

Either party may terminate this agreement at any time. Upon termination, we will process any pending payouts according to our standard schedule, subject to our right to withhold funds for potential chargebacks or disputes for a reasonable period.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through our Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
